The time has come to call all EuroCham members and chamber leadership together for our Annual General Meeting.
This yearly gathering is the occasion when EuroCham shares its achievements, highlights and overall performance from the past year with all members, committees and national chapters.
The AGM 2025 will also include our biannual elections for EuroCham's Board of Directors (BoD) and Executive Committee (ExComm). These two governing bodies are responsible for the strategic direction that the chamber will take for the next two years and are vital to the ongoing relevancy and success of EuroCham.

Eligibility & Candidacy
Who can become a candidate?
Only those who qualify as Ordinary members as per the definition outlined in EuroCham statutes and who are in good standing with their 2025 membership are eligible to be considered as candidates for the EuroCham Board of Directors (BoD). Following updates made during the September 2023 Annual General Meeting (AGM), the definition of Ordinary members has been revised. EuroCham members have until 6pm on March 10th to request a review of their membership status if they believe they have been categorised incorrectly.

What information is required to become a candidate?
Interested candidates must complete the EuroCham Cambodia Annual General Meeting 2025 Candidacy Form, providing detailed information about their qualifications and motivations for seeking a Board position. The candidacy form also requests information on the candidate's country of citizenship (according to passport) to promote diversity among the EuroCham Board of Directors, in accordance with Article 17.2 of the EuroCham statutes.

Election Process & Voting
Who elects the candidates? Who within my company has the right to vote?
All Ordinary members as per the definition outlined in EuroCham statutes and who are in good standing with their 2025 membership are entitled to one vote. Only the designated "Primary Member" of each company will receive the email and login to the voting platform on Monday 24th, 8am.
To verify who the Primary Member is within your company or to request a change, please contact Léa Galerne, Eurocham Membership Officer (membership@eurocham-cambodia.org). The deadline for changing the Primary Member is March 21th at 12pm.
How will the voting take place?
The election will be conducted online via Electionbuddy from March 24th at 8am to March 26th at 6pm (GMT+7). Primary members of each company will receive an email with the login to the voting platform on Monday 24th, 8am. Voters will be presented with the full list of candidates and will be able to vote for as many candidates they wish to vote for.
What are the voting rules (ballot format, proxies…)?
Proxies will be accepted for the members who will not be able to join the online Annual General Meeting which will take place on March 27th from 10am to 12pm. If you wish to be represented by a proxy over the Annual General Meeting, please fill in the 2025 Annual General Meeting proxy form and send it to Léa Galerne, EuroCham's membership officer (membership@eurocham-cambodia.org) before March 26th, 6pm. Proxies will not be accepted for the Board of Directors election because the election is held online, over the course of 3 days.
Voters will be presented with the full list of candidates and will be able to vote for as many candidates they wish to vote for.

Board of Directors & Responsibilities
What are the responsibilities of EuroCham’s Board of Directors?
The Board of Directors is responsible for the overall governance and strategic direction of EuroCham. Key responsibilities include:

Electing the Executive Committee.

Establishing and terminating sectoral committees.

Approving EuroCham’s internal regulations.

Approving the appointment of the Executive Director.

Approving EuroCham’s strategic direction and annual budget.

Approving annual reports to members.

Monitoring compliance with regulations and internal policies.
How long is the mandate of the Board of Directors?
The term of office for Board of Directors members is two years
How often does the Board of Directors/Executive Committee meet?
The Board of Directors meets at least quarterly (once every three months). Meetings may be called by the Chairperson, or by written notice from any three Board members if the Chairperson fails to do so. The Executive Committee meets every month.
Executive Committee
What is the Executive Committee? How does one join the Executive Committee?
The Executive Committee will be elected from among the members of the Board of Directors over the lunch following the online Annual General Meeting.
The Executive Committee consists of:

Chairperson: Guides EuroCham's activities and serves as its legal representative.

Vice-Chairpersons: Support the Chairperson and assume their responsibilities in their absence or resignation. EuroCham’s founding associations (CCIFC, GBC, BritCham) automatically hold 1 vice-chairperson position each.

Treasurer: Oversees EuroCham’s financial management and ensures proper auditing of accounts.

General Secretary: Ensures compliance with statutes and regulations, and is responsible for meeting minutes.
The Executive Committee’s responsibilities are:

Through the Executive Director manage and supervise the day-to-day operations of EuroCham Cambodia and the implementation of any EuroCham Cambodia contracts;

Prepare the internal regulations of EuroCham Cambodia to be submitted to the approval of the Board of Directors;
-
Propose the annual budget of EuroCham Cambodia to be submitted to the approval of the Board of Directors;
-
Approve any remuneration for senior personnel, as determined by the internal regulations;
-
Propose activities that it considers desirable or necessary for EuroCham Cambodia to operate;
-
Prepare the accounts of EuroCham Cambodia to be submitted to the approval of the Board of Directors;
-
Report on EuroCham Cambodia’s activities to the Board of Directors;
-
Make recommendations to the Board of Directors; and
-
Implement the decisions of the Board of Directors.
Board Composition & Diversity
How many seats are available? Why are some seats already attributed to National Chapters?
According to Article 17 of EuroCham statutes, 5 seats are pre-allocated to the founding chambers: 2 for CCIFC, 2 for GBC, and 1 for BritCham, including 1 automatic vice-chairperson position for each founding chamber. This year, ItaCham, having met the minimum membership requirement of 20 paid members, will also have 1 seat, without position, bringing the total number of seats attributed to founding chambers and national chapter to 6. According to the same article, the number of seats open for election over EuroCham’s Annual General Assembly shall be the number of appointed founding association & national chapter appointed seats plus 1. This year, there are therefore 7 seats open for election, for a future Board of 13 members in total.
How does EuroCham guarantee a good diversity of nationalities within the Board of Directors?
According to Article 17.2 of EuroCham statutes, there must not be more than 4 passport holders from the same country within the EuroCham Board of Directors. Once EuroCham’s team closes the voting platform, on March 26th at 6pm (GMT+7), we will confirm the candidates by order of votes received. Once four candidates of the same nationality have been elected, no additional candidates from that nationality can be selected, even if they have received more votes than others. Founding Association and National Chapters appointees are taken into consideration in this count.
Communication
Will EuroCham communicate about my candidacy?
Yes, EuroCham will share candidates information on its website and social media channels ahead of the Annual General Meeting. To ensure sufficient time for Eurocham team to prepare communications ahead of the Annual General Meeting, we can only guarantee equal levels of candidacy promotion to candidates who have submitted their application before Friday, March 14th, at 6pm.
